These materials are protected by U.S. copyright and trademark laws, foreign jurisdictions, and international conventions.The Content and Marks are provided “as-is” for informational and personal use only. Unless expressly permitted in writing by Ahsiek Rose, no part of the Website, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise used for any commercial purpose. Ahsiek Rose reserves all rights in the Website, Content, and Marks.

Ownership of Materials. Notwithstanding Ahsiek Rose’s ownership of Submissions, as described in the Client Feedback, all design work, original source files, and other deliverables created on behalf of the Client (referred to as "Projects") shall be the sole property of the Client upon full payment for the services rendered. Upon completion of the Project, the Client will be the exclusive owner of the copyright for all Projects. In the event that, by operation of law, Ahsiek Rose (or its representatives) would become the owner of a Project, in whole or in part, Ahsiek Rose irrevocably and perpetually assigns its entire interest in the Project to the Client, without limitation. The Client warrants that all materials provided to Ahsiek Rose, including examples or content to be incorporated into the project during the design process, are owned by the Client and do not infringe upon any third-party rights, including intellectual property or right of publicity. Ahsiek Rose reserves the right to showcase the Client's completed design work publicly, including on social media, its website, or other promotional materials, unless otherwise agreed upon by both parties in writing as stated in Showcasing Design Work section.

Third-Party Fonts. If any project delivered by Ahsiek Rose (“Project”) incorporates fonts that are not owned by Ahsiek Rose and require a commercial license for the Client to legally reproduce, distribute, or publicly display the Project (“Third-Party Fonts”), Ahsiek Rose will notify the Client in writing. This notice will specify that one or more Third-Party Fonts have been used and that the Client will need to purchase the necessary licenses from the rights-holder(s) to legally use the Project. The notice will include details sufficient for the Client to identify the required licenses and the appropriate source(s) to purchase them. Once Ahsiek Rose has informed the Client of the incorporation of Third-Party Fonts as described above, the Client assumes full responsibility for any consequences resulting from failure to purchase the required licenses. Ahsiek Rose may, at its discretion, purchase the required licenses for any Third-Party Fonts on behalf of the Client. In such cases, the cost of the licenses will either be: Invoiced separately to the Client, or Incorporated into the overall project fee, depending on the terms agreed upon in writing prior to purchase. Exemption: Fonts obtained from open-source libraries, such as Google Fonts or other freely licensed sources, do not require a separate license and will not be subject to this clause.

User Representations. By using the Website, the Client represents and warrants that: The Client has the legal capacity to enter into this Agreement and agrees to comply with these Terms of Service. The Client is not a minor in the jurisdiction where they reside. The Client will not access the Website through automated or non-human means, such as bots, scripts, or crawlers. The Client will not use the Website or services for any illegal or unauthorized purpose. The Client’s use of the Website and services will comply with all applicable laws and regulations. Misrepresentation Clause: If the Client provides any false, misleading, or incomplete information, Ahsiek Rose reserves the right to suspend or terminate the Client’s access to the Website or services, without prior notice, and pursue any available legal remedies.

Prohibited Activities. Client agrees not to access or use the Website for any purpose other than for its intended use, which is to engage with Ahsiek Rose’s services. The Website may not be used in connection with any commercial endeavors except those related to the work performed by Ahsiek Rose for the Client. Further, the Client agrees to refrain from the following activities: Make any unauthorized use of the Website; Retrieve data or content for creating or compiling a database or directory; Circumvent, disable, or interfere with security-related features on the Website; Engage in unauthorized framing or linking of the Website; Trick, defraud, or mislead Ahsiek Rose or other users; Interfere with, disrupt, or create an undue burden on the Website, or Ahsiek Rose's networks or servers; Use the Website in an effort to compete with Ahsiek Rose or any of its business operations; Decipher, decompile, disassemble, or reverse engineer any of the software comprising the Website; Bypass measures that restrict or prevent access to the Website or any portion thereof; Harass, intimidate, or threaten any of Ahsiek Rose’s employees, contractors, or agents; Delete or alter any copyright or proprietary rights notices in the Content; Copy or adapt the Website’s software; Upload or transmit viruses, Trojan horses, or any other material that disrupts or interferes with the Website’s operations; Upload or transmit any material that acts as a passive or active information collection or transmission mechanism; Disparage, tarnish, or harm the reputation of Ahsiek Rose; Use the Website in any manner inconsistent with applicable laws, statutes, or regulations. Any violation of this section may result in the immediate suspension or termination of the Client’s access to the Website, at the sole discretion of Ahsiek Rose, without any liability to the Client.

Client Feedback. The Client acknowledges and agrees that any questions, comments, suggestions, or other feedback or submissions (each a “Submission”) provided by the Client shall become the sole property of Ahsiek Rose. Ahsiek Rose is not obligated to keep any Submission confidential and is under no obligation to take steps necessary to ensure the confidentiality of a Submission. Ahsiek Rose shall be the sole and exclusive owner of all rights related to the Submission, except to the extent that rights are granted to the Client under the Ownership of Materials. Ahsiek Rose may, at its sole discretion, use and disseminate the Submission for any lawful purpose, including marketing, promotional efforts, or future projects, without requiring permission, acknowledgment, or compensation to the Client. By submitting any feedback, the Client confirms it has the right to provide such Submission and waives any claims or recourse against Ahsiek Rose for its use of the Submission in accordance with these terms and at its sole discretion.

Privacy Policy. By using the Website, the Client agrees to be bound by and abide by the Privacy Policy and the terms set forth therein, which are incorporated into this Agreement. The Website is hosted in the United States of America. Accessing the Website from regions such as the EU, Asia, or other areas outside the United States may result in the applicability of laws, statutes, or regulations different from those of the United States regarding personal data collection, use, or disclosure. The Client’s continued use of the Website and any transfer of data to the United States constitutes express consent for the transfer and processing of data in the United States. Ahsiek Rose does not knowingly collect or solicit information from individuals under the age of 18. In accordance with the United States’ Children’s Online Privacy Protection Act (COPPA), if Ahsiek Rose becomes aware that an individual under the age of 13 has provided personally identifiable information without parental consent, it will delete that information as soon as reasonably possible.

Returns and Refunds. Ahsiek Rose reserves the right to deny any refund request at its discretion, without notice or liability to the Client. Refund requests will be evaluated on a case-by-case basis. Should the Client request a refund within the first month of using services, any materials produced by Ahsiek Rose shall remain the property of Ahsiek Rose and cannot be used by the Client in any way. If a refund is deemed appropriate, a 25% fee will be applied to the remaining balance of the billable period. Ahsiek Rose reserves the right to pursue appropriate legal actions against the Client for breach of this section if necessary.

Modification. Ahsiek Rose reserves the right to change, alter, modify, amend, or remove any content on the Website for any reason at its sole discretion. Ahsiek Rose also reserves the right to modify or discontinue all or part of the Website without prior notice and without liability to the Client.

Connection Interruptions. Ahsiek Rose does not guarantee or warrant that the Website will be available and accessible at all times. Technical issues with hardware, software, or other factors may result in interruptions, delays, or errors that are beyond Ahsiek Rose’s control. The Client agrees that Ahsiek Rose shall not be liable for any loss, damage, or inconvenience caused by the Client’s inability to access or use the Website during any interruption in connection or service.

Governing Law. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Maryland without regard to conflict of law principals.

Litigation. Any legal action of whatever nature shall be brought in the state courts of Prince George’s County, Maryland. The parties hereto consent to personal jurisdiction in said courts and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction. The application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act are excluded from these Terms of Use.

Disclaimer. The Website is provided on an "as-is" and "as-available" basis. Client agrees that its use of the Website and Services is at the Client’s sole risk. Ahsiek Rose disclaims all warranties, express or implied, in connection with the Website and Client’s use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ahsiek Rose makes no warranties or representations about the accuracy or completeness of the Website or any content thereon, or content of any websites linked to the Website. Ahsiek Rose assumes no liability for any errors, mistakes, or inaccuracies of content and materials, personal injury or property damage, of any nature whatsoever, any unauthorized access to or use of Ahsiek Rose’s secure servers and/or any personal information and/or financial information stored therein, any interruption or cessation of transmission to or from the site, any bugs, viruses, Trojan horses, or the like which may be transmitted to or through the Website by any third party, and/or any errors or omissions in content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available through the Website. Ahsiek Rose does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party either through the Website, a hyperlinked website, or any website or mobile application featured in any advertising.

Limitations of Liability and Indemnification. Ahsiek Rose and its directors, employees, members, independent contractors, or agents shall not be liable to the Client or any third party for any direct, indirect, consequential, incidental, special, or punitive damages, including lost profit, lost revenue, lost data, attorneys' fees, court costs, fines, forfeitures, or other damages or losses arising from the Client’s use of the Website. Client agrees to defend, indemnify, and hold harmless Ahsiek Rose and its subsidiaries, affiliates, and all respective officers, agents, partners, employees, and independent contractors from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: Client’s use of the Website or inability to use the Website or Services; Breach of these Terms of Use; Any breach of Client’s representations and warranties set forth herein; Client’s violation of the rights of any third party, including but not limited to intellectual property rights, privacy rights, or proprietary rights; Any claim arising from feedback or submissions provided by the Client under the Client Feedback section of these Terms. Notwithstanding the foregoing, Ahsiek Rose reserves the right, at the Client’s expense, to assume control and defense of any matter for which the Client shall be required to indemnify Ahsiek Rose hereunder. The Client agrees to cooperate with the defense of such claims. This indemnification obligation shall survive the termination of these Terms.

User Data. Client is solely responsible for all data transmitted to or that relates to any activity Client has undertaken using the Website. Ahsiek Rose shall have no liability to Client for any loss or corruption of any such data, and Client hereby waives any right of action against Ahsiek Rose from any such loss or corruption.

Electronic communications, transactions and signatures. Client hereby consents to receive electronic communications from Ahsiek Rose and agrees that all agreements, notices, disclosures, and other communications sent via email or through the Website satisfy any legal requirement that such communication be in writing. Client agrees to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by Ahsiek Rose or through the Website. Client waives any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction that require an original signature or delivery or retention of non-electronic records or to payments or the granting of credits by any means other than electronic.

Showcasing Design Work. Ahsiek Rose reserves the right to share design work on digital channels including social media, the website, etc., unless otherwise agreed upon. The Client reserves the right to issue an NDA between themselves and Ahsiek Rose, which would void Ahsiek Rose's right to share or discuss the Client's work publicly.

Miscellaneous. These Terms of Use and any policies posted on the Website or regarding the Website constitute the entire agreement and understanding between the Client and Ahsiek Rose. Failure of Ahsiek Rose to enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. If any provision or part of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision shall be severed from these Terms of Use but shall not otherwise affect the validity or unenforceability of the remaining provisions herein. Nothing in these Terms of Use, the Privacy Policy, or on the Website shall be construed to constitute the forming of a joint venture, partnership, employment, or agency relationship between Client and Ahsiek Rose.

Ownership & Usage Rights. Once the final payment has been received, full ownership and usage rights to the final deliverables (e.g., logo, brand assets) will be transferred to the client. Prior to final payment, the designer retains ownership of the designs and may use them in a portfolio or promotional material.

Cancellation Clause. Either party may cancel the agreement with a fixed amount of days' notice, provided in writing. If the client cancels the project after work has begun, they will be responsible for paying for all work completed up until the cancellation date. The client will also be responsible for any non-refundable costs incurred by the designer (such as third-party services, materials, or other out-of-pocket expenses). Upon cancellation, all work completed up to that point will remain the property of the designer, and no deliverables will be transferred until all payments are made.

Termination Clause. In the event the project is terminated before completion, either by the client or the designer, the following will apply: Client-Initiated Terminated: If the client decides to cancel or "kill" the project after work has started, they will be responsible for paying for all work completed up to that point, including any costs already incurred. The client will not be entitled to any completed deliverables unless full payment has been received.Designer-Initiated Terminated: If the designer needs to terminate the project, the client will be refunded for any work not yet completed, based on the work already performed up until the point of termination. The designer will provide an itemized breakdown of work completed and deliverables rendered.

Revisions. The client is entitled to fixed amount rounds of revisions as part of the agreed-upon scope. Additional revisions beyond this will be billed at a flat rate.

Project Scope. The scope of work includes a list specifics of deliverables developed during discovery call or phase. Any changes or additions to the scope of work after the project has begun will require a new agreement and additional fees.

Project Timelines. The project is expected to be completed by an expected date developed during discovery, assuming timely feedback and decisions from the client. Delays in feedback or decisions may extend the timeline.

Cancellation or Termination Clause. Either party may terminate the agreement with a fixed amount of days' notice. If the client decides to cancel the project after work has begun, they will be responsible for paying for all work completed up until that point. If the designer needs to terminate, the client will be refunded for work not yet completed.

Confidentiality. Both parties agree to maintain confidentiality regarding proprietary information shared during the course of the project. This includes design concepts, strategies, and any confidential business information.
